These Terms and Conditions ("Agreement"; or „Terms“) set forth the general terms governing your
use of www.werk.pro (the "Site"). This Agreement is legally binding between you and EmergentX
Pte. Ltd. If you are entering into this Agreement on behalf of a business or another legal entity, you
represent that you have the authority to bind such an entity to this Agreement. In such cases, the
terms "User," "you," or "your" shall refer to that entity. If you lack such authority, or if you do not
agree to this Agreement, you must not access or use the Site.

By accessing or using the Site, you affirmatively acknowledge and agree that you have read and
understood these Terms and that you abide by them. If you do not agree, you are not authorized to
use the Site and you must immediately stop using it.

2. Use of the Site

By accepting these Terms, you represent and acknowledge that you have reached the legal age of
contractual capacity in your jurisdiction, have the right, authority, and capacity to enter into an
agreement with EmergentX Pte. Ltd., reside in a jurisdiction where the use of the Site’s content is
not prohibited or restricted by applicable law, and will abide by this Agreement at all times.

9. Limitation of Liability

To the fullest extent permitted by applicable law, EmergentX Pte. Ltd., its affiliates, directors,
officers, employees, agents, contractors, and licensors shall not be liable for any indirect, incidental,
special, punitive, or consequential damages, including but not limited to loss of profits, revenue,
data, goodwill, or business opportunity, damages arising from the use of or inability to use the Site,
regardless of legal theory (contract, tort, negligence, etc.), or the aggregate liability of EmergentX
Pte. Ltd. for all claims relating to the Site will not exceed one Singapore Dollar (SGD 1) or the
amount you have paid to us (whichever is greater).
These limitations apply even if the stated remedies fail their essential purpose.

10. Indemnification

To the fullest extent permitted by the applicable laws, you agree to indemnify and hold harmless
EmergentX Pte. Ltd., its affiliates, directors, officers, employees, agents, contractors, and licensors
from any claims, damages, losses, liabilities, or expenses (including reasonable attorney fees) arising
from your use of the Site, your violation of these Terms, any misconduct or illegal activity on your
part, or your violation of any third-party rights, including intellectual property or privacy rights.

11. Jurisdiction & Dispute Resolution

Any disputes arising from this Agreement will be resolved through arbitration administered by the
Singapore International Arbitration Centre (SIAC) under its prevailing rules. The governing law shall
be Singapore law, and the seat of arbitration shall be Singapore. Arbitration proceedings will be
conducted in English, with a single arbitrator who possesses relevant legal and technological
expertise. If the parties cannot agree on an arbitrator within 15 days, SIAC will appoint one.
Each party shall bear its own costs in arbitration, except that administrative fees shall be shared
equally. Nothing in this Agreement prevents EmergentX Pte. Ltd. from seeking injunctive relief in
any court of competent jurisdiction to protect its intellectual property rights or confidential
information.

12. Modification of Terms

We may modify these Terms and may notify users of material changes by posting updates on the
Site. Continued use of the Site after changes take effect constitutes acceptance. If you do not
agree, you must stop using the Site.
